MaRS Library Articles of Amendment: Sample template
At the time of incorporation, your startup may not have required different classes of shares. However, if you are preparing for new investors in your business, you may need to revise the capital structure established in your Articles of Incorporation. If you do need to create a more complex share structure, seek legal counsel about filing Articles of Amendment.
MaRS has created a sample template of Articles of Amendment to help streamline business for investors, founders and their respective legal advisors. While MaRS makes this document available for educational purposes and to facilitate the negotiation of terms between investors and startups, the template is yours to use at your own risk.
